    A:
    Normally, Our clients will sign an NDA before quotation.
    B:
    Can sign NDA with REKO's below standard documentation or your company's documentation.
    Individual customers will negotiate mutually acceptable compensation terms according to the circumstances of the order.
    C:
    REKO does not accept unreasonable, harsh compensation terms of the NDA documents.

    REKO Technology Company and the Participant identified below (herinafter "Participant") are entering into an agreement and making effective as of the date set below (herinafter "Agreement"). Participant's entire company including parent and subsidiary companies (unless the Participant indicates in writing that this Agreement will apply only to a specific division or location) will be deemed to be a party to this Agreement. Either party may receive or disclose Confidential Information under this Agreement. The party that discloses the Confidential information shall be considered the "Discloser." The party that receives the Confidential Information shall be considered the "Recipient."

    1. Each party shall use the other party's Confidential information only for the purposes of, and in performance of, its obligations under this Agreement. Each party shall maintain the confidentiality of the other party's Confidential Information in the same manner in which it protects its own Confidential Information of like kind, but in no event shall either party take less than reasonable precautions to prevent the unauthorized disclosure or use of the other party's Confidential information.

    2. Confidentiality Period: This Agreement and Recipient's duty to hold Confidential information in confidence expire three (3) years after the last disclosure of such Confidential information, and such duty shall survive any termination of this Agreement.

    3. Disclosure Period: This Agreement pertains to Confidential Information that is disclosed for two (2) years after the Effective Date.

    4. Maintenance of Confidentiality: Each party shall take at least those measures that it takes to protect its own confidential information of a similar nature, but in no case less than reasonable care, and shall ensure that its employees who have access to Confidential information of the other party have signed an non-use and non-disclosure agreement in content substantially similar to the provisions hereof, prior to any disclosure of Confidential Information to such employees.

    5. Both parties shall adhere to all applicable laws, regulations and rules relating to the export of technical data, and shall not export or re-export any technical data without the written permission of Discloser.

    6. This Agreement constitutes the entire agreement with respect to Confidential information disclosed hereunder and supersedes all prior or contemporaneous oral or written agreements concerning such confidential information. Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision of this Agreement.

    7. Both parties agree that they have read and understand this agreement and agree to be bound by its terms.

    Product confidentiality agreement with employees

    Content and scope of confidentiality

    2.1 Commercial Secrets Including but not limited to Party A's development plan, business plan, business strategy, business management analysis report, market plan, investment plan, investment strategy, investment analysis report, client list, client design, Customer's product photos, list of partners and cooperation details, internal contracts, agreements or letters of intent, price structure details, cost details, advertising plans, commercial negotiation strategies, sales plans, sales strategies, sales progress, sales, acquisition or merger plans, asset and business restructuring plans, market research reports, consultant feedback, professional consultant reports Tender proposal, etc.

    Party B's rights and obligations

    4.1 During his/her tenure at Party A, Party B shall comply with any written or unwritten confidentiality rules and regulations stipulated by Party A and perform confidentiality duties corresponding to his/her position. Where Party A's confidentiality rules and regulations do not provide or are unclear, Party B shall, in a prudent and honest manner, take any necessary and reasonable measures to maintain the confidentiality of any technical secrets or other trade secrets that it knows or holds during the term of office, which belong to Party A or belong to a third party but which Party A promises to keep confidential.

    4.2 In addition to the need to perform duties, Party B undertakes that, without written consent of Party A, Shall not disclose, inform, publish, publish, transmit, transfer or otherwise make any third party (including other employees of Party A who are not allowed to know the secret according to the provisions of the confidentiality system) know the technical secret or other trade secret information belonging to Party A or which belongs to others but Party A undertakes to keep confidential; Nor may they use such confidential information outside the performance of their duties.

    Duty of confidentiality

    Party B shall abide by the written or unwritten confidentiality rules and regulations of Party A and fulfill the corresponding confidentiality obligations during the cooperation. Without the written authorization of Party A, Party B shall not engage in the following acts:

    1. Disclosing, informing, publishing, publishing, transferring, transferring or otherwise making any information within the scope of confidentiality known to a third party;

    2. Use the above confidential information to carry out production and business activities, new research and development, etc., for the benefit of Party B or a third party, and other purposes.

    Confidentiality period

    Party A and Party B confirm that Party B's confidentiality obligation shall begin when this Agreement is signed and end when Party A's trade secrets related to the project are disclosed. Whether Party B continues to participate in Party A's work related to the project shall not affect the obligation of confidentiality.

    Liability for breach

    1. If Party B fails to fulfill the confidentiality obligation outlined in Article 2 hereof but does not cause losses or serious consequences to Party A, it shall be liable for a penalty not exceeding RMB ___ yuan for breach of contract;

    2. If Party B's breach of contract mentioned in the preceding paragraph causes losses or serious consequences to Party A Party B shall be liable for breach of contract.

    Strict product picture system management

    Ensuring Every Product Image Is Traceable, Protected, and Compliant With NDA Requirements

    1.
    Send the product pictures shared by the production department every day to the assistant by email.
    2.
    The subject of the email is "Product picture for RK888" The assistant shall file and classify all the product photos before leaving work every Friday.
    3.
    Sign the NDA product diagram, send it to the corresponding salesman separately, and save it to the NDA Product Diagram folder instead of the shared disk of the company.

    However, all product drawings with the customer's LOGO shall be sent to the corresponding salesman separately and placed on the "LOGO product diagram" which cannot be placed on the company's shared disk.

    This cabinet is specifically for storing NDA (Non-DAevocalization) customer samples.

  • The cabinet is labeled with the corresponding customer code (no customer name).

  • The customer can view the corresponding project samples when visiting the factory.
  • Note:This sealed cabinet is not open to external visitors unless the customer visits and authorizes viewing.

  • Only the owner and one administrator who has signed an internal confidentiality agreement have access.
  • The showroom is not open to all employees.

  • All entry and exit records are traceable, ensuring auditability and accountability.
